What Laws Govern OCI Property Sales in India?

Mainly three legal frameworks work together here:

1. FEMA (Foreign Exchange Management Act, 1999)

It governs what land an OCI can sell, buy, or hold in India, and how the sale proceeds move across different borders. The specific property rules for non-residents sit under the Foreign Exchange Management (Non-Debt Instruments) Rules, 2019  that the RBI administers. 

2. RBI Guidelines 

You generally do not deal directly with the RBI. Authorised Dealer Category-I banks verify compliance, process the remittance via the seller’s NRO/NRE account, and enforce the $1 Million USD per financial year repatriation limit. 

3. Income Tax Act, 1961 (Capital Gains & TDS on Property)

Once the sale goes through, the Income Tax Act decides how much tax you owe on the profit, and how much the buyer must deduct before paying you.
  • Long-Term Capital Gain (Held > 24 Months): Taxed at a flat 12.5% (without indexation) plus applicable surcharge and a 4% Health & Education Cess.
  • Short-Term Capital Gain (Held ≤ 24 Months): Taxed according to your applicable income tax slab rate (up to 30% plus surcharge and cess).
  • TDS by the Buyer (Section 195): The buyer must deduct TDS at 12.5% for LTCG or up to 30% for STCG. To avoid tax being deducted on the full sale value instead of just your actual profits, you can apply for a Lower/Nil TDS Certificate (Form 13) before closing the sale.

How to sell the property in India as an OCI: Step-by-Step Process

Every OCI holder can follow these simple steps to sell their property in India: 
  1. Document Verification & Preparation. You need to make sure all your ownership documents are complete and legally clear in India. You’ll need the following documents:
    • Original Sale Deed
    • Encumbrance Certificate (EC): To prove there’s no legal liability on the property.
    • Latest Property Tax Receipts
    • OCI Card, PAN card, and Passport
  2. Get a property valuation and check the government-notified circle rate, since tax is calculated using whichever is higher: your actual sale price or the circle rate.
